A mortgage financing problem, unexpected funding shortfall or delayed sale of your existing home can put a purchase at risk. When the closing date is approaching, understanding your legal position becomes particularly important.
If you may be unable to close your Ontario home purchase, notify your real estate lawyer promptly. Before agreeing to revised terms or communicating that you will not complete the transaction, obtain advice about your purchase agreement and the possible consequences.
Legal Route Professional Corporation assists clients with Ontario real estate transactions and related disputes. Our lawyers are licensed to practise law in Ontario.
Not every delayed or unsuccessful closing raises the same legal issues. A review may need to address:
The agreement, amendments, communications and current circumstances help determine which options can realistically be considered.
Financing difficulties do not automatically release a buyer from a purchase agreement. Any protection under a financing condition depends on its wording, timing and whether it remains available.
An earlier mortgage pre-qualification should not be treated as a substitute for assessing the financing condition in your agreement. RECO specifically cautions buyers about this distinction.
Legal Route can review the contractual position and explain how the financing problem affects your legal options.
Do not assume that giving up the deposit ends your obligations.
A buyer who defaults may face forfeiture of the deposit and liability for losses exceeding it. Depending on the circumstances, recoverable losses may include a resale shortfall and certain additional expenses.
The outcome depends on the agreement, the parties’ conduct, proof of loss and the seller’s obligation to take reasonable steps to mitigate losses. Any deposit retained must be properly accounted for when assessing damages; the seller is not entitled to double recovery.
A legal assessment can help distinguish a potential claim from an amount you are actually required to pay.
An extension or negotiated resolution may be possible. Whether you have a right to additional time depends on the agreement and applicable law. Where the seller’s agreement is required, requesting an extension does not itself change the closing date.
Proposed terms deserve careful review. Additional payments, revised obligations and releases can affect your position beyond the immediate closing problem.
Legal Route can assess a proposal, negotiate where appropriate and document the terms agreed upon. An extension, price adjustment or release cannot be guaranteed.
Our role is to assess the legal issues and explain the practical choices available. Depending on the matter and the agreed scope of our engagement, we can assist with:
Where a closing issue develops into litigation, our civil litigation services can provide continuity between the transaction and the resulting dispute.
Pre-construction purchases require particular attention to the builder’s agreement, applicable addenda and any statutory rights. For condominium purchases, interim occupancy and final closing are also distinct stages.
Tarion recommends legal review of the purchase agreement and addendum, including closing dates, potential delays and additional costs. A problem with a builder transaction should therefore be assessed using the documents and rules that apply to that purchase.
A lower appraisal may affect the financing available. Its legal significance depends on your agreement and any applicable conditions. Have your lawyer assess the contractual position while you clarify the funding issue with your lender.
Obtain advice before signing. The document may change payment obligations, preserve or waive claims, or determine what happens to the deposit. Its effect depends on the actual wording.
Contact us with the closing date and a brief description of the issue so we can assess conflicts and availability. Acceptance of an urgent matter depends on the circumstances and our ability to act within the time available.
If your home purchase may not close as planned, Legal Route can review the circumstances and discuss the legal work that may be appropriate.
