What are you planning?
Your starting point affects the questions worth addressing before documents are filed or commitments are signed.
Starting on your own
We can discuss business structures, your proposed activities and the legal implications of operating personally or through a corporation.
Starting with co-founders
Clarify ownership, contributions and who makes decisions. A filing alone does not settle what happens if an owner leaves or the founders disagree.
Incorporating an existing business
Existing contracts, assets, employees and liabilities need attention. We can assess the legal transition and coordinate with your tax adviser where needed.
Already incorporated?
You may need organizational documents, ownership records or a review of what has already been completed. Tell us what you have and what is missing.
Decisions that shape your business
Structure and personal exposure
How you own and operate the business affects control, responsibility and administration. Incorporation creates a separate legal entity, but it does not eliminate every source of personal exposure. Guarantees, directors’ responsibilities and your own conduct can still matter. We discuss the legal implications alongside your business plans.
Ontario or federal incorporation
Both routes can be relevant to a business operating in Ontario. The choice involves your proposed name, where you expect to operate and ongoing corporate requirements. Federal incorporation does not remove provincial registration requirements where the corporation carries on business. We help you consider the fit rather than assume one route suits every founder.
Ownership, control and contributions
Equal investment does not automatically answer every question about voting, management or future funding. We can discuss the proposed share structure and how ownership arrangements should be documented, with accounting advice where tax considerations affect the plan.
Names, brands and operating requirements
A corporate name, a business name and trademark protection serve different purposes. Incorporation also does not replace permits, licences or other requirements for your activities. Tell us how and where the business will operate so the scope of the legal review is clear.
Legal support beyond the filing
The certificate is one part of establishing a corporation. The agreed work may also involve documenting its initial decisions and ownership, and connecting the setup to the way the business will operate.
Formation documents
Ontario or federal incorporation, business registrations and formation documents suited to the agreed structure.
Initial corporate organization
Bylaws, resolutions, share issuance documentation and corporate registers, with the scope confirmed for your matter.
Founder arrangements
Advice on contributions, control and ownership terms, including whether a shareholder or partnership agreement should be addressed.
Connected business needs
Identify related contracts, commercial leases, employment arrangements or financing issues requiring separate or coordinated advice.
If you have already filed online, we can discuss reviewing the documents and addressing gaps. Existing business transfers and tax-sensitive arrangements may require additional work beyond a new incorporation.

Questions about business formation
Do I need a corporation to start a business?
Not every business starts as a corporation. The appropriate structure depends on ownership, activities, exposure, administrative needs and other circumstances. We can assess the legal considerations and coordinate with your accountant on tax questions.
Is registering a business name the same as incorporating?
No. A business name registration and incorporation serve different purposes. Registering a name does not itself create a corporation. We can review what has been registered and explain the legal work still needed.
Should I incorporate in Ontario or federally?
The answer depends on your plans, proposed name and operating footprint, together with ongoing requirements. Federal incorporation also involves applicable provincial registrations. We can discuss the options for your business.
Can you help if I already incorporated online?
Yes. We can discuss reviewing your formation documents, initial corporate organization and ownership records. Tell us what was completed so we can define the review rather than repeat work unnecessarily.
Can I incorporate my existing sole proprietorship?
We can assess the legal work involved in moving an existing business into a corporation. Contracts, assets, liabilities and tax treatment may need separate attention; incorporation alone does not resolve the whole transition.
Do co-founders need a separate agreement?
Formation documents may not address the founders’ expectations about future funding, departures or disagreements. We can discuss whether a shareholder or partnership agreement is appropriate and what issues it should cover.
What will it cost and how long will it take?
Fees and timing depend on the structure, documents, required advice and any existing business arrangements. We confirm any consultation fee before booking and explain proposed fees, taxes and anticipated expenses before retention. Tell us your deadline so we can assess availability; government processing times can also affect completion.
Can we work together virtually?
Virtual appointments are available for suitable Ontario matters. We explain the identification, document delivery and signing arrangements that apply and whether any step requires attendance.
