What do you need help with?

Prepare a new agreement

You have a commercial arrangement to put into writing or a template that no longer fits. Explore contract drafting.

Review proposed terms

A customer, supplier or other party has sent an agreement for signature. Explore contract review.

Change an existing contract

Costs, services, delivery or the relationship itself have changed. Explore amendments and negotiation.

Respond to a problem

If there is already a missed payment, alleged breach, termination notice or dispute, tell us that at the outset. We can assess whether the work requires dispute advice as well as a document review.

You do not need to know the legal name of the agreement before contacting us. Tell us who the parties are, what the arrangement involves and any important deadline.

New contracts built around the actual arrangement

Useful drafting starts with the business relationship: what each party will provide, what payment depends on, how performance will be assessed and what should happen when plans change. A document that leaves those questions unclear can be difficult to use even when it looks comprehensive.

We discuss the proposed arrangement, identify the legal issues within the agreed scope and prepare terms for review and negotiation. Tell us about any promises already made, existing terms and practical constraints so the draft reflects the transaction.

Agreements we can discuss

Our business contract work includes customer and service agreements, vendor and supplier agreements, distribution arrangements, confidentiality agreements, independent contractor agreements, and intellectual property ownership or licensing terms. Connected employment, procurement, technology or cross-border issues may require a more focused scope.

If you intend to reuse the agreement, we can discuss which provisions should be consistent and which commercial details need to change for each engagement.

Contract review before the next commitment

A review can help you understand what the proposed document requires, where terms may differ from your expectations and which points are worth raising with the other party. We consider the agreement alongside the business context you provide.

Read the documents together

A signed page may refer to schedules, purchase orders, online terms, policies or another agreement. Definitions, priority clauses and incorporated documents can affect how an obligation operates. We explain which materials are needed for the proposed review rather than assume one clause tells the full story.

Advice and negotiation are different scopes

You may need an explanation of the terms, proposed edits, or a lawyer to negotiate with the other party. We confirm the work you want us to handle and any limits before proceeding. If a deadline is close, tell us before arranging the review so we can assess availability.

Already signed or started work?

Tell us what has happened and whether there are emails, orders or other communications about the arrangement. We can assess the appropriate legal review. Do not assume a document is the only relevant part of the relationship.

Amendments, renewals and changing terms

Changes in pricing, scope, delivery, staffing or business priorities may require an amendment rather than a completely new contract. We can review the existing terms and advise on the proposed changes and how to document them.

The work may address price adjustments, service changes, extensions, renewal provisions, supply interruptions or negotiated termination. Existing approval requirements, notice provisions and related obligations need to be considered alongside the amendment.

Keep the agreed changes clear

A revised schedule, a new purchase order and an email exchange may not say the same thing. We can help identify which terms are intended to change and which should continue, reducing uncertainty about the resulting agreement.

If the parties disagree about an existing obligation or alleged breach, we assess that issue separately from negotiating future terms. Explore our civil litigation services for connected disputes.

Terms that can change the commercial outcome

Scope and performance

What is included, how changes are approved, when delivery is due and how acceptance or performance concerns will be addressed.

Payment and adjustments

Pricing, deposits, milestones, invoicing, expenses and adjustments, together with any conditions affecting when payment is due.

Risk and liability

Liability limits, indemnities, warranties and insurance obligations, considered together rather than as isolated clauses.

Information and intellectual property

Confidentiality, permitted use of information, ownership of work product and the rights each party needs to use or license it.

Duration, renewal and exit

How long the arrangement runs, whether it renews, how it may end and what obligations continue afterwards.

Change and disagreement

Assignment, amendments, notices, governing law and dispute provisions, including issues raised by cross-border arrangements.

Not every contract needs the same provisions. We assess the terms against the transaction, your role and the business risks you identify. A contract review does not replace separate tax, accounting, technical or insurance advice where those questions arise.

Questions about business contract services

Can you review a contract prepared by the other party?

Yes. Tell us who prepared it, the nature of the arrangement and what concerns you. We can discuss reviewing the terms, proposing changes or handling negotiations, with the scope confirmed before proceeding.

Can you help with one clause or a short agreement?

A focused review may be appropriate. We may still need the rest of the agreement and related documents because definitions, exceptions and other terms can change the meaning of the clause you are concerned about.

Can you improve a template we already use?

We can review whether an existing template reflects the business’s current services, risks and commercial terms. Tell us how it is used, who signs it and which parts are regularly changed.

Can you review a contract after it has been signed?

Contact us with a brief description of what was signed and the help you need. Advice about existing obligations, an amendment or a dispute may involve different work. A review cannot guarantee that the other party will agree to changes.

Will you negotiate directly with the other party?

We can discuss negotiation as part of the engagement. Reviewing a document does not automatically include conducting negotiations, so we confirm the proposed role and scope with you.

Can you assess confidentiality and ownership of work product?

Yes. We can review confidentiality, ownership, assignment and licensing provisions in the context of the agreement. Tell us what information or work product is involved and how each party expects to use it.

What will the work cost and how quickly can you help?

Fees and timing depend on the documents, complexity, negotiations and agreed scope. We confirm any consultation fee before booking and explain proposed fees, taxes and anticipated expenses before retention. Tell us your deadline so we can assess availability; an inquiry alone does not confirm acceptance of the matter or deadline.

Can we work together virtually?

Virtual appointments are available for suitable Ontario matters. We explain the identification, document delivery and signing arrangements that apply and whether any step requires attendance.
